About the Position
The Center for Popular Democracy & CPD Action (CPD/A) is seeking a Director of Legal Compliance / Senior Counsel, to advise the organization on a wide range of legal, operational, and compliance issues. The Director of Legal Compliance ensures CPD and related organizations meet all legal requirements governing those bodies (as nonprofit corporations, employers, vendors, etc.), and that organizational leaders make decisions informed by legal context and appropriate risk analysis while moving our mission work forward with the urgency required by the moment we are in. They also design and monitor effective internal systems, and train and support staff to adhere to compliance measures. The Director of Legal Compliance collaborates closely with HR, finance, development, and operations staff on all issues that implicate legal compliance. The Director of Legal Compliance is responsible for identifying legal risk and/or weaknesses, counsels decision-makers on potential solutions, and takes the lead on developing organization-wide solutions and systems that address such concerns.
The Director of Legal Compliance / Senior Counsel is responsible for implementing / overseeing and/or coordinating the following:
Nonprofit Corporate Compliance: develop and revise systems to monitor & oversee C3 / C4 / PAC compliance with relevant laws governing these nonprofit entities. This includes providing legal guidance & oversight on: classification of lobbying activities, classification of partisan political activity / electioneering, general C3-C4 compliance, and tax law compliance. Draft, review, and advise on internal policies and procedures, regulations, Board resolutions, bylaws, and other legal documents;
Contracts: Oversee review and drafting of consultant, vendor and third-party agreements and contracts. Ensure contracts are favorable and protect the legal & other organizational interests of CPD/A & related organizations, as appropriate. Ensure staff understand and comply with contractual obligations.
Staff training and guidance: provide orientation to all new staff on C3-C4 rules, lobbying, partisan political activity, and organization standards and practices for managing this work within the corresponding nonprofit framework; and ensuring the organization(s) meet all compliance and disclosure requirements on election work and lobbying.
General Risk Mitigation, Assessment and Legal Oversight on organizational operations and activities: Help each department & program understand legal obligations to ensure compliance with relevant regulations. Stay abreast of changes to the legal landscape on relevant subject areas, including tax law for exempt organizations, governance, employment law and contracts. Respond to staff and other requests for counsel and advice.
Employment Law: Provide legal counsel on labor and employment-related and personnel matters. Work w/ HR Director and outside counsel when appropriate to advise CPD on its legal responsibility as employer.
Litigation: Directly manage or work with outside counsel to manage or coordinate any litigation or potential litigation in which CPD/A or related organization is a party.
Fiscal sponsorship & affiliate support: Provide legal oversight of fiscal sponsorship program. As needed, provide legal consultation / guidance to affiliates.
Manage outside counsel.
Job Requirements and Qualifications:
At least 10 years experience in non profit organizations, with at least 7 years providing legal advice for community organizing, advocacy efforts, or political campaigns;
J.D. from an accredited law school, and J.D. from an accredited law school and admission to practice law in the U.S., preferably in New York State or Washington, DC, or ability to secure such admission shortly;
Excellent legal research and writing skills and demonstrated command over a range of legal topics;
Demonstrated commitment to social, racial and economic justice;
Strong interpersonal skills and the ability to be diplomatic and have discretion in dealings with others;
Excellent writing, communication, and organizational skills;
High degree of professional ethics and integrity;
Ability to work well independently and to drive projects to completion in a fast-paced environment;
Problem-solving perspective.
Salary and Benefits:
CPD/A is a unionized workplace. This is a confidential position, not included in our bargaining unit. Salary will be determined according to a salary scale which takes into account years' experience, location, job category, and other factors, but is expected to be between $110,000-125,000. We have a generous benefits package, including health insurance, dental insurance, vision insurance, 15 vacation days per year, 10 sick days per year, 12 paid holidays per year, and contributions to individuals' 401K plans.
